Iranian-American Physicists (IrAP) Network Group

BYLAWS

 

 

ARTICLE I

NAME AND LOCATION

 

SECTION 1. The name of the organization shall be the Iranian-American Physicists Network Group.

 

SECTION 2. The regular place for the meeting of the organization shall coincide with the location of the March Meeting of the American Physical Society (APS).

 

ARTICLE II

AIMS AND PURPOSES

 

SECTION 1. The objective and purposes of the Iranian-American Physicists Network Group shall be to bring together the members of the American Physical Society who have common interests in Iranian culture and believe in promoting dialogue between the two nations.

 

SECTION 2. More specifically, the Iranian-American Physicists Network Group:

 

  • 1. Will be inclusive to all American Physical Society members.
  • 2. Will be purely non-religious, non-political, and not-for profit group.
  • 3. Will abide by its Bylaws.
  • 4. Provide the focal point and an arena for Iranian-American physicists who wish to broaden their professional/personal lives with cultural-historical- ancestral ties.
  • 5. Facilitate concerted efforts by its members in specific inter-disciplinary fields regarding:
  • a. Addressing the needs of developing and poor countries (sustainable economic development, general health, epidemics).
  • b. Influencing policy-makers regarding their decisions when concerned with earthquake prediction and environmental protection.
  • 6. Enhance the role of physics in expanding the coverage, increasing effectiveness, and popularity in utilization and application of the scientific thinking and its methods.
  • 7. Emphasize physics education and its impact on societies.
  • 8. Advocate physics as a tool in expanding democracy.
  • 9. Build upon the image of a universal physics to achieve world peace.
  • 10. Increase the interaction between its members and diverse cultures of the world with emphasis on humanity.
  • 11. Unify the voices of Iranian-American physicists and give them a formal avenue to publicize their aspirations or to raise their concerns.
  • 12. Provide a positive role model for members of the young Iranian immigrant community striving to assimilate with their newly adopted home, and trying to find their new identities without losing positive aspects of their cultural heritage.
  • 13. Provide institutional services to its members such as for job searches and facilitate research cooperation between its members.
  • 14. Establish a web site and email address for contact and public outreach.
  • 15. Establish scholarship and awards to honor talented young physicists.
  • 16. Provide guidance and mentorship to the students of physics and science.
  • 17. Organize public lectures and events, interviews with Iranian public media in exile, and issue news and timely public announcements to raise physics awareness and the role of science within the Iranian immigrant communities across USA.
  • 18. Recognize individuals who have contributed to humanity, world peace, and general human well-being with their research in science (specifically physics).
  • 19. Honor individuals who have defended scientific thinking and freedom of thought around the world.
  • 20. Stand bold and strong against injustice and discrimination against minorities and individuals. Oppose deception, pseudoscience, and scientific fraud.

 

ARTICLE III

MEMBERSHIP

 

SECTION 1. AFFILIATION

 

All the members of the Iranian-American Physicists Network Group must be members of the American Physical Society.

 

SECTION 2. Membership

 

  • a. Membership shall be open to all members of the American Physical Society.
  • b. Each member shall have one vote in the conduct of the affairs of the Network Group.

 

SECTION 3. APPLICATION FOR Membership

 

Application for membership shall be made in writing to the Secretary. Each applicant must express a willingness to abide by the Iranian-American Physicists Network Group Bylaws and the rules of the American Physical Society.

SECTION 4. TERMINATION OF Membership

 

  • a. A member may resign from the Network Group at any time upon written notice addressed to the Secretary. Termination is in effect after announcement by the Network Group's secretary in the next regular meeting of the Network Group.
  • b. Membership is void if membership fee is delinquent for more than thirty days from the fiscal year start.
  • c. Members who resign, or are expelled from the Network Group shall be absolved automatically of all duties and rights of membership and they shall surrender all properties of the Network Group in their possession upon termination.
  • d. No member of the Iranian-American Physicists Network Group must take actions on behalf of the Network Group without full knowledge of the Board of Directors.
  • e. The Iranian-American Physicists Network Group opposes any violation of human sanctity. The Network Group shall practice zero-tolerance policy on the issue and act swiftly against such improper conduct. Any member may be expelled for any improper conduct. Signed written charges against a member, having been duly made, must be brought up to the attention of the Board of Directors. The Board will notify all members of the Network Group of their recommendation. A decision shall be made in the next regular meeting by two-thirds vote of the members of the Network Group who are present. All documents related to the case will be kept public.
  • f. If a member of the Board of Directors is engaged in improper conduct, his/her expulsion must be decided by voice vote in a regular Network Group meeting. It must be brought to the attention of all Network Group members 15 days in advance of a regular meeting through mail / e-mail. A Director of the Network Group can be expelled with two-thirds vote of the regular members present in the meeting. All documents related to the case will be kept public.

 

ARTICLE IV

DUES

 

SECTION 1. The amount of annual dues shall be determined by the Board of Directors and shall be due January 3rd and payable no later than January 31st to the Treasurer.

 

SECTION 2. Dues that are delinquent more than thirty days after January 3rd will cause immediate termination of the membership.

 

SECTION 3. An individual who joins the Network Group after July 1st pays half of the membership dues of the Network Group.

 


 

ARTICLE V

ORGANIZATION AND MANAGEMENT

 

SECTION 1. The Board of Directors of the Iranian-American Physicist Network Group will manage its affairs and business.

 

SECTION 2. The Board of Directors shall consist of Network Group's President, Secretary and Treasurer who will serve for one year. No one person can assume more than one Director position. No director shall serve at the same position for more than two consecutive terms. All candidates for the position of Directors must submit a one-page introductory material to the Network Group members by December 15th to qualify.  The Network Group Directors shall be selected by majority vote of regular members of the Network Group returning ballots before January 31st of each fiscal year.

 

ARTICLE VI

POWERS AND DUTIES

 

SECTION 1. OFFICERS

 

The President shall be the chief executive officer of the Network Group, shall preside at all meetings of the Board, and at all meetings of the membership of the Network Group. The president shall represent the Network Group at official functions.

 

The Secretary shall keep the minutes of the meetings of the Board of Directors and of the membership, record the votes in all elections, maintain the records of the membership of the Network Group, and keep the records public for review by any member of the Network Group or upon request by the American Physical Society. The Secretary shall have other duties as may be assigned by the President.

 

The Treasurer shall be responsible for administering funds as directed by the Board of Directors and maintaining the financial records of the Network Group. The Treasurer shall have other duties and responsibilities as assigned by the President.

 

SECTION 2. BOARD OF DIRECTORS

 

The Board of Directors is charged with the management of the affairs and business of the Network Group. It shall determine and set policy and shall act upon proposals and recommendations submitted by the members. All members of the Board of Directors shall make every effort to attend every Board meeting and shall have one vote on each matter to be decided. A quorum shall be required and shall consist of a simple majority of the Directors.

 


 

ARTICLE VII

OPERATING PROCEDURES

SECTION 1. Management of the affairs of the Network Group shall be vested in the Board of Directors.

 

SECTION 2. Elections shall be held by Ballot of the members. The Secretary shall send the ballots before January 15th of each fiscal year. Ballots shall be counted only if returned by January 31st. If there is but one nominee for each office, the votes are cast for or against the candidate.

 

SECTION 3. The new Officers shall be presented and installed at the March meeting.

 

SECTION 4. Shall a vacancy occur in any office, the President, with the concurrence of the Board of Directors, shall solicit new candidates, introduce new candidate in a special meeting of the Network Group, and held the election by voice vote. Majority vote of members present in the meeting is necessary to appoint a new Director. A new Director shall be in place one month after vacancy is occurred.

 

SECTION 5. The Board of Directors shall present the following to the Network Group members for approval by the majority of members voting:

 

  • a. Annual Budget
  • b. Other monetary commitments in excess of 15% of the total yearly expenditures.

           

SECTION 6. Electronic and regular mail will be complementary to (but in no way replace) verbal communications during the regular meetings of the Network Group.

 

ARTICLE VIII

MEETINGS

 

SECTION 1. There shall be one regular membership meeting every six months. However the President may call special membership meetings.

 

SECTION 2. Meetings can take place via teleconference or live chat.

 

SECTION 3. There may be one regular Board of Directors meeting each month. However the President may call special Board meetings. The meeting of the Board of Directors shall remain open for all members of the Network Group but as observant only.

 

SECTION 4. Notices for all Network Group meetings shall be sent by the Secretary at least five days in advance of said meetings. The notice shall state date, time, place and purpose of the meeting.

 

SECTION 5. The majority of the Board of Directors and three Regular members of the Network Group who attend the regular meeting of the Network Group shall constitute a quorum, capable of transacting all business properly brought before the meeting. Otherwise the meeting must be dismissed.

 

ARTICLE IX

AMENDMENT AND EFFECTIVITY

 

SECTION 1. Any regular member of the Network Group may submit proposed amendments or changes to these Bylaws at any meeting of the Network Group.

 

SECTION 2. Proposed changes to these Bylaws shall be communicated to the members of the Network Group for consideration at a membership meeting prior to ballots being sent to regular members for voting.

 

SECTION 3. Final wording of the amendments shall be approved by the Board of Directors and sent by the Secretary to all regular members for voting. Ballots shall be counted only if returned within thirty days following mailing of the ballots.

 

SECTION 5. Amendments to the Bylaws shall become effective only after:

 

  • c. Approval by all members of the Board of Directors.
  • d. Passage by a two-thirds affirmative vote of those regular members returning ballots.

 

SECTION 6. The Secretary shall distribute copies of the approved Bylaws to all members.

 


 

ARTICLE X

CONFORMANCE

 

SECTION 1. The Bylaws shall not conflict with nor take precedence over the "Bylaws" of the American Physical Society and its affiliations and shall in no way conflict with or alter any applicable Government Regulations.
